Terms of Service
Nucleus is a product of HappyUFO Media. These terms are an agreement between you and HappyUFO Media (“we”), the company that makes and operates Nucleus. They cover your use of the Nucleus service. If you use Nucleus for a bookkeeping firm, you agree to them for the firm, and you confirm you're allowed to.
1. What Nucleus does
Nucleus reads your clients' accounting data (from files you upload, or from QuickBooks Online or Zoho Books connections that it only reads from) and points out possible problems, such as missing W-9s, unusual vendors or miscoded transactions. It never changes anything in your clients' books.
It is a review aid, not professional advice. Its findings can be incomplete or wrong. You and your firm remain responsible for your work, for your clients' books, and for tax filings such as Forms 1099. Check important conclusions, including 1099 thresholds and requirements, against current IRS guidance.
2. Your account
- Give accurate information and keep it up to date.
- Everyone signs in with a password and an authenticator app. Keep your password, authenticator and backup codes private. You're responsible for what happens under your account.
- Owners decide who can use the firm's account and what they can do. Remove people who leave.
- Tell us right away at security@trynucleus.xyz if you think an account has been misused.
3. Your data
Your firm owns the data it puts into Nucleus (“Customer Data”), including your clients' information. You give us permission to store and process Customer Data only to run, secure and support the service for you, as described in our Privacy Policy. We don't sell Customer Data or use it to advertise.
You confirm you have the right to give us Customer Data, including any permission your clients or the law require. You can export your data at any time from Firm settings, including after a subscription ends. When you close your firm's account, we delete client data straight away; the activity log is kept as a security record.
4. Acceptable use
Don't:
- use Nucleus for anything unlawful, or upload data you don't have the right to share;
- try to get into another firm's data, test our security without written permission, or get around limits;
- upload malicious files, or overload, scrape or reverse-engineer the service;
- resell the service or share an account outside your firm.
5. Plans, trial and payment
- New firms get a free 14-day trial. No card is needed for the trial. When it ends, the account pauses until someone subscribes; your data stays available to export.
- The subscription is priced by the number of clients your firm has in Nucleus: Starter at 49 a month or 490 a year (up to 25 clients), Practice at 99 a month or 990 a year (up to 50 clients) and Firm at 179 a month or 1,790 a year (up to 250 clients). Firms with more than 250 clients agree terms with us by email. Prices are plus any taxes. Moving between plans is prorated. It renews automatically until cancelled.
- Payments are handled by Stripe. We never see or store your full card number. If a payment fails, Stripe retries for a while; if it still fails, the subscription ends.
- You can cancel any time from the Billing page. You keep access until the end of the period you've paid for. Except where the law requires otherwise, payments aren't refunded.
- We may change prices with at least 30 days' notice by email. Changes apply from your next renewal.
6. Third-party services
Connecting QuickBooks Online, Zoho Books or Xero is also covered by those companies' terms. You can disconnect at any time. We aren't responsible for their services.
7. Availability and changes
We work to keep Nucleus available and secure but can't promise it will never be interrupted. We may improve or change features. If we make a change that significantly reduces the service, we'll tell you in advance.
8. Disclaimers
Apart from what these terms say, the service is provided “as is.” To the extent the law allows, we disclaim implied warranties such as merchantability, fitness for a particular purpose and non-infringement.
9. Limit of liability
To the extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Each side's total liability under these terms is limited to the amount you paid us in the 12 months before the claim. These limits don't apply to your payment obligations, to either side's fraud or wilful misconduct, or where the law doesn't allow them.
10. Ending the agreement
You can stop using Nucleus and close your firm's account at any time. We may suspend or end accounts that break these terms or put the service or other customers at risk; where we reasonably can, we'll warn you first and give you a chance to export your data.
11. General
These terms are governed by the laws of [State], and its courts handle any dispute. If we update these terms, we'll post the new version here and, for important changes, email account owners first. If part of these terms can't be enforced, the rest still applies.
